Partner

Sean J. Hill is a partner in the Corporate Department and co-head of Proskauer’s Private Investment Funds Group.  He focuses on acting as outside general counsel to alternative investment managers and institutional investors, with a particular emphasis on fund formation and portfolio investment activities, as well as securities, regulatory, compliance and operational matters.  Sean advises clients in the formation of buyout, corporate opportunity, credit, direct lending, distressed, growth capital, secondaries and fund of funds, as well as co-investment funds and separate accounts, for both established and emerging managers.

In addition, he works with fund sponsors to structure firm ownership and operations, including advising clients on acquisitions of alternative investment managers, as well as seed, minority, growth capital, joint venture and liquidity transactions.  Sean also has significant expertise in secondary transactions of all types, including direct secondaries, highly structured and synthetic transactions, leveraged secondaries and spin-out of assets and investment teams.
